Terms of Service

1. Scope and acceptance
These terms govern use of this website, website accounts, downloads, licensing and support portals, community features, and Kalytera-hosted services (together, the "Services"). Downloadable software, hosted-service orders, quotes, and written licence terms may include additional terms. Those specific terms control for the relevant product if they conflict with these general website terms. By using a Service, you agree to the terms that apply to it.
2. Software and licences
2.1 Community edition
The Kalytera VMS Community edition is available without a licence purchase and is subject to its stated device and feature limits. Availability without charge does not transfer ownership or grant rights to copy, modify, distribute, sublicense, or resell proprietary Kalytera software.
2.2 Commercial licences
Commercial Kalytera VMS deployments are governed by the device allowance, enabled capabilities, validity, support, update, and other terms stated in the applicable quote, order, and licence. You must not bypass or interfere with licence validation or use the software outside the granted scope.
2.3 Open-source components
Open-source projects and components are licensed separately under the licence notices supplied with them. These terms do not restrict rights granted by an applicable open-source licence. Third-party components remain subject to their respective licences.
3. Acceptable use
You may use the Services only lawfully and within the permissions granted to you. You must not:
- attack, disrupt, probe, or circumvent security or access controls;
- introduce malicious code or use the Services to harm another person or system;
- submit information you do not have the right to provide;
- infringe intellectual-property, privacy, or other rights; or
- misrepresent your identity, authority, or intended use.
4. Accounts
You must provide accurate information, protect your credentials, and promptly notify us of suspected unauthorised access. You are responsible for activity performed through your account to the extent allowed by law. We may require verification before changing access or disclosing account information.
5. Quotes, fees, and licence delivery
Prices, taxes, payment dates, refunds, delivery, support, and renewal terms are those stated in the applicable quote, order, invoice, or written agreement. Website descriptions are informational and are not a binding quote. Hardware-bound licence files may need to be reissued when the licensed environment changes.
6. Data and privacy
6.1 Self-hosted Kalytera VMS
A customer controls the infrastructure on which Kalytera VMS is installed. Operating the self-hosted VMS does not, by itself, give us access to its camera credentials, live video, or recordings. The customer is responsible for its deployment, notices, permissions, security, retention, and lawful use of surveillance data.
6.2 Kalytera Cloud and website services
Kalytera Cloud is a hosted service and processes the tenant, camera, event, video, recording, and operational data required by the features the customer enables. Website accounts, forms, licensing, downloads, and support also process the information described in our Privacy Policy. Service configuration and applicable written terms determine hosted storage, retention, quota, and customer responsibilities.
7. Content and intellectual property
Kalytera and its licensors retain rights in the proprietary Services, software, branding, documentation, and original website content. You retain rights in material you submit. You grant us only the permission needed to host, process, transmit, and display submitted material to provide, secure, and support the requested Service. Open-source components remain governed by their own licences.
8. Third-party services
Links, integrations, browsers, cameras, storage systems, networks, and third-party services are controlled by their respective providers and may have separate terms. We are not responsible for third-party services, but this does not limit any responsibility that applicable law does not allow us to exclude.
9. Service availability and warranties
Unless a written agreement says otherwise, the Services are provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties and do not promise that every Service will be uninterrupted, error-free, or compatible with every device, stream, network, or environment. Statutory rights that cannot be waived remain unaffected.
10. Liability
To the extent permitted by law, neither party is liable under these general website terms for indirect or consequential loss. Any product-specific liability allocation in a signed agreement controls for that product. Nothing in these terms excludes liability that cannot lawfully be excluded or limited.
11. Responsibility for your deployment
You are responsible for camera placement, notices and permissions, network exposure, access controls, backups, storage capacity, legal retention settings, and decisions made from alarms or analytics. Product output should be validated for the intended environment and must not be treated as guaranteed detection.
12. Suspension and termination
We may restrict or suspend access when reasonably needed to address a security threat, unlawful use, material breach, non-payment under applicable commercial terms, or a legal requirement. Where practical, we will provide notice and an opportunity to correct the issue. Product-specific termination and data-return terms in a written agreement control for that product.
13. Changes
We may update these terms when the Services or legal requirements change. The date above identifies the current version. Material changes apply prospectively, and any notice required by law or a written agreement will be provided through the relevant Service or contact channel.
14. Governing terms
Any governing-law, venue, and dispute terms in an applicable written quote, order, licence, or service agreement control. Otherwise, the law and mandatory consumer or business protections that apply to the parties and transaction remain applicable.
